Welcome to Esthetiques Pro Pvt. Ltd. (“Esthetiques,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website https://esthetiquespro.in/ (the “Site”), our services including customized curtains, blinds, wallpaper design, embroidered wallpaper, carpet customization, and premium bedding sets & quilts (“Services”), and any related offerings. By accessing the Site, placing an order, or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

We operate in compliance with applicable Indian laws, including but not limited to the Information Technology Act, 2000 (“IT Act”), the Consumer Protection Act, 2019 (“CPA”), the Companies Act, 2013, and other relevant regulations. These Terms form a legally binding agreement between you (“you,” “user,” or “customer”) and Esthetiques Pro Pvt. Ltd., a private limited company incorporated under the Companies Act, 2013, with its registered office at #123, MG Road, Bangalore, Karnataka 560001, India (CIN: UXXXXXXKA2025PTCXXXXX; GSTIN: 29XXXXXYYYYYYYYZ1ZX). This agreement is governed by the laws of India, with exclusive jurisdiction in the courts of Bangalore, Karnataka.

1. Eligibility and Account Registration

  • You must be at least 18 years old and legally capable of entering contracts to use the Site and Services.
  • Registration may be required for orders or consultations. You agree to provide accurate, current information and maintain confidentiality of your account credentials. You are responsible for all activities under your account.
  • We reserve the right to suspend or terminate accounts for violations, fraud, or at our discretion.

2. Use of the Site and Services

  • Permitted Use: The Site and Services are for personal, non-commercial use only, unless otherwise specified. You may browse, place orders, and access design tools, but you agree not to: (a) misuse the Site (e.g., hacking, viruses); (b) infringe intellectual property; (c) post harmful content; or (d) engage in unauthorized commercial activities.
  • Prohibited Conduct: No scraping, reverse engineering, or unauthorized data collection. Violations may result in legal action under the IT Act.
  • Availability: Services are subject to availability. We may modify, suspend, or discontinue the Site/Services without notice, except as required by CPA for ongoing orders.

3. Orders and Services

  • Placing Orders: All orders for custom products (e.g., embroidered wallpapers, bespoke carpets) are subject to acceptance. We reserve the right to reject or cancel orders due to pricing errors, stock issues, or unavailability.
  • Customization: Designs are tailored based on your specifications. Final approval via mockups is required; changes post-approval may incur fees.
  • Delivery and Installation: Estimated timelines are indicative. Delays due to supply chain, customs (for international), or force majeure (e.g., strikes, pandemics) are not our liability. Delivery charges apply; installation is optional and extra.
  • Returns and Refunds:
    • Custom items are non-returnable unless defective (per CPA). Standard items returnable within 7 days if unused and in original packaging.
    • Refunds processed within 10-15 business days via original payment method, minus shipping/processing fees.
    • Report defects within 48 hours of delivery with photos.

4. Pricing and Payments

  • Prices are in INR, exclusive of GST (displayed at checkout). We may update prices without notice.
  • Payments via secure gateways (e.g., Razorpay, UPI). You authorize us to charge your payment method.
  • All transactions comply with RBI guidelines; no liability for unauthorized charges (report immediately).
  • Promotions/discounts are non-transferable and subject to expiration.

5. Intellectual Property

  • The Site and Services, including designs, images, and content, are owned by us or licensed. You are granted a limited, revocable license for personal use.
  • User-submitted designs (e.g., for custom quilts) grant us a non-exclusive, royalty-free license to use for fulfillment and promotion (with credit).
  • Infringement claims: Notify us at legal@esthetiquespro.in; we respond per IT Act procedures.

6. User Content and Representations

  • You retain ownership of your content but grant us rights to use it for Services.
  • You represent that your content does not violate laws or third-party rights (e.g., no copyrighted designs without permission).
  • We are not liable for user content accuracy or misuse.

7. Disclaimers and Limitations of Liability

  • As-Is Basis: Site/Services provided “as is.” We disclaim warranties (express/implied) for fitness, merchantability, or non-infringement.
  • Limitation: To the fullest extent under law (including CPA limits), our liability is capped at order value. No consequential damages (e.g., lost profits).
  • Force Majeure: Not liable for delays beyond control.

8. Indemnification

You agree to indemnify us against claims arising from your use, content, or violations, including reasonable attorney fees.

9. Termination

We may terminate access for breaches. Upon termination, obligations (e.g., payment) survive.

10. Governing Law and Dispute Resolution

  • Governed by Indian law. Disputes resolved via arbitration under Arbitration and Conciliation Act, 1996, in Bangalore (one arbitrator via Indian Council of Arbitration).
  • For consumer disputes, approach District Consumer Forum per CPA.

11. Miscellaneous

  • Severability: Invalid provisions do not affect others.
  • Entire Agreement: These Terms supersede prior understandings.
  • Assignment: We may assign; you may not without consent.
  • Changes: Updates posted with effective date. Continued use implies acceptance; material changes notified via email/Site.
